TERMS AND CONDITIONS

Contract for Bike & Travel Services

This contract governs the provision of services by BIKE & TRAVEL S.r.l.,

Hereinafter "Bike & Travel", in favor of natural or legal persons, hereinafter referred to as "Client".

By confirming the order and/or by paying the deposit, the Client declares that they have read this contract, the confirmed services sheet, the technical programs and the applicable financial conditions.

1. Subject of the contract

1.1. Bike & Travel offers, in the cycling and sports sector, services of research, design, organization, coordination, hospitality, bicycle rental and technical or ancillary services related to programs, stays, events or cycling-themed activities and other outdoor activities.

1.2. The services actually purchased by the Client are exclusively those described in the confirmed offer, the services sheet, the quote and the order confirmation.

1.3. The commercial name of the program does not alter the nature of the services concretely confirmed between the parties.

2. Services that may be included

2.1. Depending on the agreed project, Bike & Travel may directly provide or coordinate one or more of the following services:

  • conception and design of the cycling program or sporting activity;

  • logistical coordination and hospitality at selected accommodation facilities;

  • booking or brokering of rooms, halls, reception services or ancillary services;

  • on-site operational assistance, guide coordination or road captain, if provided;

  • local transfers, luggage handling or technical support, if expressly confirmed;

  • rental of bicycles, e-bikes, equipment or accessories;

  • basic technical support, services dedicated to cycling teams, ancillary activities, tastings, meetings or events, if indicated in the services sheet.

2.2. Any service not indicated as included is understood to be excluded and remains the responsibility of the Client.

2.3. Unless otherwise agreed in writing, the following are excluded: airline or long-distance rail tickets, visas, insurance, personal expenses, extra consumptions, damages attributable to the Client and any service not expressly stated in the confirmation documents.

3. Order confirmation and payments

3.1. The order is considered confirmed when Bike & Travel sends written confirmation and receives the deposit indicated in the quote or order confirmation.

3.2. Unless otherwise agreed in writing, the deposit is equal to 50% of the total fee and the balance must be paid no later than 30 days before the start of services.

3.3. For orders confirmed close to the execution date, Bike & Travel may request full payment at the time of confirmation.

3.4. Bank fees, exchange costs, electronic payment costs and charges on international transfers remain the responsibility of the Client, unless otherwise agreed in writing.

3.5. Failure to pay within the agreed terms allows Bike & Travel to suspend preparatory activities or cancel the order upon written notice.

4. Method of service delivery and third-party suppliers

4.1. Bike & Travel may perform the services directly or coordinate them through selected partners and third-party suppliers in relation to the nature of the program.

4.2. If an individual service is provided by an independent third-party supplier, Bike & Travel handles its selection, coordination and management within the limits of the role assumed in the confirmation documents.

4.3. The substitution of an accommodation facility, a support vehicle, a bicycle or a supplier with another solution of equivalent or higher level, in the same area or for the same function, does not in itself constitute a material modification.

4.4. Timetables, routes, meeting points and operational details may be updated for organizational, safety or program coordination needs.

5. Reasonable modifications to the program

5.1. In cycling program and outdoor activities, modifications may become necessary due to weather conditions, road conditions, group safety, supplier availability, requirements of local authorities or other objective circumstances.

5.2. In the presence of non-substantial variations, Bike & Travel informs the Client with reasonable promptness and adopts solutions consistent with the overall level of the agreed services.

5.3. If a modification substantially affects a main characteristic of the program, Bike & Travel proposes, where possible, an alternative solution of comparable level or recognizes a refund of the portion of the fee relating to services not performed.

6. Requirements of the Client and participants

6.1. The Client and any participants must carefully verify the level of physical effort required, the indicative mileage, the elevation gain, the type of terrain, the climate and the degree of autonomy required by the program.

6.2. Those participating in cycling activities declare that they are in adequate physical condition, are able to ride a bicycle safely and have no impediments incompatible with the chosen program. The Client undertakes to communicate before the start of services, for themselves and for any participants, an emergency contact, any relevant allergies or intolerances, physical conditions or limitations that may affect the safe conduct of the activities, as well as a truthful declaration of cycling experience level, when requested by Bike & Travel or provided for in the services sheet.

6.3. Participants undertake to comply with the operational and safety instructions given by Bike & Travel, guides, road captains, technical partners and local authorities.

6.4. Participation in activities while under the influence of alcohol, narcotics or medications incompatible with safe riding is not permitted.

6.5. If the behaviour of a participant concretely endangers their own safety, that of the group or the regular performance of the services, Bike & Travel may limit their participation in individual activities or terminate it, without prejudice to the charging of any consequential costs attributable to the Client.

7. Bicycles, equipment and damages

7.1. When bicycle or equipment rental is included or requested, the Client undertakes to use them diligently and in accordance with the instructions received.

7.2. At the beginning of the activity, the condition of the bicycle and equipment delivered may be recorded in writing or photographed.

7.3. Normal wear and tear will not be charged. However, damages, breakages, losses or restoration costs arising from improper use, negligence, violation of instructions or inadequate custody remain the responsibility of the Client.

7.4. Where a security deposit is required, the relevant amount, the methods of blocking or collection and the conditions of return will be indicated in the services sheet or in a specific annex.

8. Withdrawal or cancellation by the Client

8.1. The Client may withdraw from the services at any time by written communication.

8.2. In the event of withdrawal, Bike & Travel retains administrative costs and amounts already committed to third parties, as well as fees accrued for design, coordination and booking activities already carried out.

8.3. Unless proven otherwise regarding costs actually incurred, the following indicative penalty scale applies: more than 60 days: 10%; from 59 to 31 days: 50%; from 30 to 15 days: 75%; from 14 days to the start date or in case of no-show: 100%.

8.4. Where logistically possible and upon written communication sent with reasonable advance notice before the start of services, the Client may request the substitution of themselves or a participant with another person who meets the technical, physical and organizational requirements. The substitution is considered completed only after written confirmation from Bike & Travel and is subject to compatibility with accommodation availability, rentals, names already transmitted to suppliers and any other operational constraint. The actual costs of variation, reissuance or realignment of already booked services remain the responsibility of the Client.

9. Withdrawal or impossibility of performance by Bike & Travel

9.1. Bike & Travel may cancel or reschedule the services before their start in the event of force major, incompatible safety conditions, supervening unavailability of essential resources, minimum number of participants not reached if provided, or other objective causes not reasonably surmountable. Where a minimum number of participants is required for a given program, such number will be indicated in the services sheet, the quote or the order confirmation. In the event of failure to reach the minimum number, Bike & Travel will notify the Client in writing with reasonable advance notice before the start date of the services.

9.2. In such cases, Bike & Travel proposes, where possible, a new date, an alternative program or a refund of the amounts received for the non-performable services.

9.3. No further indemnification is owed for indirect costs, personal expenses or services not purchased through Bike & Travel, except as mandatorily provided by the applicable law.

10. Liability and operational limits

10.1. Bike & Travel carries out its activities with professional diligence, care in the selection of partners and attention to the overall quality of the experience.

10.2. Bike & Travel is not liable for delays, cancellations, closures, prohibitions, measures by authorities, adverse weather events or service disruptions directly attributable to carriers, facilities, independent suppliers or causes beyond its control, except in the case of deficient coordination attributable to Bike & Travel or different mandatory provision of law.

10.3. The Client's personal belongings remain under their custody, unless formally delivered to Bike & Travel or an appointed person.

10.4. Bike & Travel provides reasonable organizational assistance in situations of difficulty, within the limits of the information available and the role concretely assumed in the program.

11. Complaints and reports

11.1. Any issues must be reported without delay during the performance of the services, so as to allow a timely and proportionate solution.

11.2. Any subsequent complaints must be sent in writing to the address info@massicycling.com within 10 days of the conclusion of the services, accompanied by a clear description of the facts and useful documentation.

11.3. Bike & Travel will examine the complaint in a collaborative spirit and will respond within a reasonable timeframe.

12. Photos, videos and communications

12.1. During programs, photo and video content may be produced for organizational, archival or brand communication purposes.

12.2. If the Client or a participant does not wish to appear in public or promotional materials, they may communicate this in writing before the start of the services or report it on-site, and Bike & Travel will adopt reasonable measures to respect this choice.

13. Personal data

13.1. Personal data is processed to the extent necessary to formulate the offer, confirm the order, organise the services, manage relationships with suppliers and comply with legal obligations.

13.2. Bike & Travel processes data in compliance with applicable regulations and refers, for detailed aspects, to its privacy policy.

14. Applicable law and dispute resolution

14.1. This contract is governed by the law of San Marino, without prejudice to any mandatory consumer rights where applicable.

14.2. The parties undertake to attempt an amicable resolution of any dispute before resorting to legal proceedings.

14.3. Unless otherwise mandatorily provided by law, the competent jurisdiction is that of San Marino.

15. Final confirmation

15.1. The Client declares that they have carefully read this contract, understood the nature of the confirmed services and accepted the financial and operational conditions.
