TERMS AND CONDITIONS

This contract governs the provision of services by:

hereinafter "Bike & Travel", in favor of individuals or legal entities, hereinafter the "Client".

By confirming the order and/or paying the deposit, the Client declares having read this contract, the confirmed services sheet, the technical program, and the applicable economic conditions.

1. Subject Matter of the Contract

1.1. Bike & Travel offers, in the cycling and sports sector, services of study, planning, organization, coordination, hospitality, bicycle rental, and technical or ancillary services related to cycling-themed programs, stays, events, or activities and other outdoor activities.

1.2. The services actually purchased by the Client are exclusively those described in the confirmed offer, the services sheet, the quote, and the order confirmation.

1.3. The commercial name of the program does not alter the nature of the services concretely confirmed between the parties.

1.4. Bike & Travel does not operate as a travel agency or tour operator and provides exclusively the study, planning, organization, coordination, assistance, rental, and ancillary services expressly indicated in the confirmation documents, except where otherwise mandatorily required by applicable law.

2. Services That May Be Included

2.1. Depending on the agreed project, Bike & Travel may directly provide or coordinate one or more of the following services:

  • Conceptualization and planning of the cycling program or sports activity;

  • Logistical coordination and hospitality at selected accommodation facilities;

  • Booking or intermediation of rooms, meeting spaces, reception services, or ancillary services;

  • On-site operational assistance, guide or road captain coordination, where included;

  • Local transfers, luggage handling, or technical support, where expressly confirmed;

  • Rental of bicycles, e-bikes, equipment, or accessories;

  • Basic technical support, services dedicated to cycling teams, side activities, tastings, meetings, or events, where indicated in the services sheet.

2.2. Any service not listed as included is considered excluded and remains at the Client's expense.

2.3. Unless otherwise agreed in writing, the following are excluded: long-distance air or rail tickets, visas, insurance, personal expenses, extra consumptions, damages attributable to the Client, and any service not expressly stated in the confirmation documents.

3. Order Confirmation and Payments

3.1. The order is considered confirmed when Bike & Travel sends written confirmation and receives the deposit indicated in the quote or order confirmation.

3.2. Unless otherwise agreed in writing, the deposit is equal to 50% of the total fee, and the balance must be paid no later than 30 days before the start of the services.

3.3. For orders confirmed close to the execution date, Bike & Travel may require full payment at the time of confirmation.

3.4. Bank fees, exchange costs, electronic payment costs, and charges on international bank transfers remain at the Client's expense, unless otherwise agreed in writing.

3.5. Failure to pay within the agreed deadlines entitles Bike & Travel to suspend preparatory activities or cancel the order, after written notice.

4. Service Delivery Methods and Third-Party Suppliers

4.1. Bike & Travel may perform services directly or coordinate them through selected partners and third-party suppliers in relation to the nature of the program.

4.2. If a single service is rendered by an independent third-party supplier, Bike & Travel handles selection, coordination, and management within the limits of the role assumed in the confirmation documents.

4.3. The replacement of an accommodation facility, support vehicle, bicycle, or supplier with another solution of equivalent or superior level, in the same area or for the same function, does not in itself constitute an essential modification.

4.4. Schedules, routes, meeting points, and operational details may be updated for organizational, safety, or coordination reasons.

5. Reasonable Program Modifications

5.1. In cycling programs and outdoor activities, modifications may become necessary due to weather conditions, road conditions, group safety, supplier availability, local authority requirements, or other objective circumstances.

5.2. In the event of non-substantial changes, Bike & Travel will inform the Client with reasonable promptness and adopt solutions consistent with the overall level of services agreed upon.

5.3. If a modification substantially affects a key characteristic of the program, Bike & Travel will propose, where possible, an alternative solution of comparable level, or will refund the portion of the fee relating to the unperformed services.

6. Requirements for the Client and Participants

6.1. The Client and any participants must carefully verify the level of physical effort required, the approximate mileage, elevation gain, surface type, climate, and degree of autonomy required by the program.

6.2. Those participating in cycling activities declare that they are in physical condition compatible with the chosen program, that they can safely ride a bicycle, and that they have no impediments incompatible with the technical, physical, or environmental level of the activity. The Client undertakes to communicate, for themselves and any participants, before the start of the services, an emergency contact and any information relevant to the safety and proper organization of the activities.

6.3. Participants undertake to follow the operational and safety instructions given by Bike & Travel, guides, road captains, technical partners, and local authorities, as well as applicable traffic regulations and prudence rules.

6.4. Participation in activities while under the influence of alcohol, narcotics, or medications incompatible with safe riding or activity performance is not permitted.

6.5. Should a participant's behavior concretely endanger their own safety, the group's safety, or the regular conduct of the services, Bike & Travel may limit their participation to specific activities or discontinue it entirely, without prejudice to the right to payment for services already confirmed and the charging of any additional costs attributable to the Client.

7. Bicycles, Equipment, and Damages

7.1. When bicycle or equipment rental is included or requested, the Client undertakes to use them diligently and in accordance with the instructions received.

7.2. At the start of the activity, the condition of the bicycle and equipment delivered may be recorded in a report or photographed.

7.3. Normal wear and tear will not be charged. Damages, breakages, losses, or restoration costs resulting from improper use, negligence, violation of instructions, or inadequate storage remain the Client's responsibility.

7.4. Where a security deposit is required, the amount, the blocking or charging terms, and the return conditions will be indicated in the services sheet or a specific attachment.

8. Cancellation or Withdrawal by the Client

8.1. The Client may withdraw from the services at any time by written notice.

8.2. In the event of withdrawal by the Client, Bike & Travel is entitled to retain, as a withdrawal penalty, the amounts indicated below, without prejudice to any greater costs actually incurred and documentable toward non-recoverable third-party suppliers directly attributable to the Client's booking, where exceeding the applicable penalty.

8.3. Unless proof of different actually incurred and non-recoverable costs is provided, the withdrawal penalty is determined as follows:

  • More than 60 days before the start of services: 10% of the total fee;

  • From 59 to 31 days before the start of services: 50% of the total fee;

  • From 30 to 15 days before the start of services: 75% of the total fee;

  • From 14 days before the start of services up to the start date, or in case of no-show: 100% of the total fee.

8.3-bis. In any case, Bike & Travel will provide, upon the Client's request, a reasonable summary of the amounts retained or requested, with the corresponding calculation basis.

8.4. Where logistically possible and upon written notice sent with reasonable advance before the start of services, the Client may request the substitution of themselves or a participant with another person who meets the technical, physical, and organizational requirements. The substitution is finalized only upon written confirmation by Bike & Travel and is subject to compatibility with accommodation availability, rentals, names already submitted to suppliers, and any other operational constraints. The actual costs of modification, reissuance, or realignment of already-booked services remain at the Client's expense.

9. Withdrawal or Impossibility of Performance by Bike & Travel

9.1. Bike & Travel may cancel or reschedule services before their start in cases of force majeure, incompatible safety conditions, unforeseen unavailability of essential resources, minimum number of participants not reached (if applicable), or other objective causes that cannot reasonably be overcome. Where a minimum number of participants is required for a given program, such number will be indicated in the services sheet, quote, or order confirmation. In the event the minimum is not reached, Bike & Travel will provide written notice to the Client with reasonable advance before the service start date.

9.2. In the cases referred to in this article, Bike & Travel will propose, where reasonably possible, a new date or an alternative program of comparable level. If this is not possible or not accepted by the Client, Bike & Travel will reimburse without undue delay the amounts received, limited to the services that cannot be performed.

9.3. Any non-waivable rights of the Client under applicable law remain unaffected. Subject to this limit, no additional amounts are due as compensation for indirect damages, personal expenses, or services autonomously purchased by the Client from third parties and not included in the services confirmed by Bike & Travel.

10. Liability and Operational Limits

10.1. Bike & Travel carries out its activities with professional diligence, careful partner selection, and attention to the overall quality of the experience.

10.2. Bike & Travel is not liable for delays, cancellations, closures, bans, authority measures, adverse weather events, acts of the Client or third parties unrelated to the organization of the services, nor for circumstances not reasonably foreseeable or avoidable with ordinary professional diligence, except in the case of its own direct liability, inadequate organization or coordination, or as otherwise required by mandatory legal provisions.

10.3. Where individual services included in the confirmed scope are rendered by third-party suppliers, Bike & Travel remains liable within the limits of the role it actually assumed and of what is mandatorily required by applicable law, without prejudice to the possible direct liability of the individual supplier for the specific service under their responsibility.

10.4. The personal belongings of the Client and participants remain under their own custody and responsibility, unless formally handed over to Bike & Travel or a person appointed by it.

10.5. Bike & Travel provides, within the limits of the role assumed and the information reasonably available, proportionate organizational assistance in situations of difficulty that arise during the performance of the services.

11. Complaints and Reports

11.1. Any issues must be reported without delay during the performance of the services, so as to allow a timely and proportionate resolution.

11.2. Any subsequent complaints must be submitted in writing to info@bikeand.travel within 10 days of the conclusion of the services, accompanied by a clear description of the facts and relevant documentation. It is understood that this deadline serves organizational purposes and to facilitate complaint handling, and does not limit any non-waivable rights of the Client under applicable law.

11.3. Bike & Travel will examine the complaint in a collaborative spirit and respond within a reasonable timeframe.

12. Photos, Videos, and Communications

12.1. During the programs, photographic and video content may be produced for organizational, logistical, safety, internal documentation, and service archiving purposes.

12.2. Any use of images or videos that make the Client or a participant identifiable for public, promotional, commercial, or brand communication purposes will be carried out in compliance with applicable regulations and, where necessary, on the basis of the specific consent of the person concerned.

12.3. The Client or participant who does not wish to appear in content intended for public or promotional distribution may notify Bike & Travel in writing before the start of services or signal it on-site; Bike & Travel will take reasonable measures to respect this choice.

13. Personal Data

13.1. The personal data of the Client and any participants are processed to the extent necessary to formulate the offer, confirm the order, organize and perform the services, manage relationships with suppliers involved in the execution, fulfill administrative, tax, and legal obligations, and, where necessary, protect participants' safety and manage emergencies.

13.2. Where, for organizational or safety reasons, it is necessary to process special category data, including data relating to allergies, intolerances, physical limitations, or other information relevant to the correct and safe execution of the services, such data will be processed exclusively to the extent necessary, by authorized personnel and with adequate confidentiality measures, in compliance with applicable law.

13.3. Data may be shared, to the strictly necessary extent, with accommodation facilities, rental providers, guides, transporters, technical partners, administrative consultants, and other suppliers involved in the organization or execution of the services, as well as with parties to whom disclosure is required by law.

13.4. For detailed information on processing methods, legal bases, retention periods, data subject rights, and the data controller's contact details, please refer to the current privacy policy made available by Bike & Travel, which forms an integral part of the pre-contractual disclosure.

14. Applicable Law and Dispute Resolution

14.1. This contract is governed by the law of the Republic of San Marino, without prejudice to any non-waivable rights granted to the Client as a consumer by otherwise applicable law.

14.2. The parties undertake to attempt in good faith an amicable resolution of any dispute before resorting to legal action.

14.3. For any dispute relating to the validity, interpretation, performance, or termination of this contract, the courts of San Marino shall have exclusive jurisdiction, except for the different mandatory jurisdiction provided by law for the protection of the consumer Client.

15. Final Confirmation

15.1. The Client declares having carefully read this contract, having understood the nature of the confirmed services, and accepting the applicable economic and operational conditions.

16. Specific Approval of Clauses

16.1. Pursuant to and for the purposes of Article 1341 of the Italian Civil Code, where applicable, the Client declares to specifically approve the following clauses: 3.5 (non-payment and order suspension/cancellation), 4.3 (replacement of equivalent suppliers or services), 5 (reasonable program modifications), 7.3 and 7.4 (damages, losses, and security deposit), 8 (cancellation or withdrawal by the Client and related penalties), 9 (withdrawal or impossibility of performance by Bike & Travel), 10 (liability and operational limits), 11.2 (complaint deadline), 14 (applicable law and jurisdiction).
